The buyer assumes full responsibility for the proper storage, handling, and use of these research chemica. Scarlet Research Ltd. assumes no liability for any misuse, improper storage, or illegal use of our products.

All sales are final. No refunds or returns.

Shipping Policy

All orders are processed and shipped within 1–3 business days. Shipping times and delivery dates are estimates only and are not guaranteed. Scarlet Research Ltd.  is not responsible for any delays caused by customs, carriers, or incorrect shipping information provided by the customer.

Customers are responsible for paying any customs duties, taxes, or import fees that may be applied to international orders. We are not responsible for packages seized or confiscated by customs.

Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Scarlet Research Ltd. , its owners, directors, officers, employees, agents, and affiliates shall NOT be liable for any direct, indirect, incidental, special, punitive, consequential, or exemplary damages whatsoever, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if Scarlet Research Ltd. has been advised of the possibility of such damages.

Indemnification

The purchaser agrees to indemnify, defend, and hold harmless Scarlet Research Ltd., its owners, directors, officers, employees, agents, successors, and assigns from and against ANY and ALL claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable legal fees) arising directly or indirectly out of or in connection with the purchase, possession, storage, handling, misuse, or use of our products, or any violation of applicable laws or regulations by the purchaser.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to any conflict of law principles.

The parties hereby irrevocably attorn and submit to the exclusive jurisdiction of the courts of the Province of Alberta, Canada, for the resolution of any dispute arising out of or in connection with these Terms and Conditions or any transactions contemplated herein. The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, void, or unenforceable under any applicable law, that provision shall be deemed severed from these Terms and Conditions and shall not affect the validity or enforceability of the remaining provisions. The remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

Entire Agreement

These Terms and Conditions, together with the Legal Disclaimer, Privacy Policy, and any other policies or documents referenced herein, constitute the complete and exclusive statement of the agreement between you and Scarlet Research Ltd. with respect to the subject matter hereof.

This Agreement supersedes any and all prior or contemporaneous agreements, communications, representations, understandings, proposals, and warranties, whether written, oral, or implied, relating to the subject matter of these Terms and Conditions.

No other terms, conditions, or agreements, whether contained in any purchase order, confirmation, or other document provided by the purchaser, shall be binding on Scarlet Research Ltd. unless expressly agreed to in writing by an authorized officer of Scarlet Research Ltd.
